This Aircraft Maintenance Service Contract (hereinafter referred to as the “Contract”) is considered an integral part of the Aircraft Maintenance Service Proposal submitted by AIR OCEAN MAROC (hereinafter referred to as “AOM Maintenance”), located at No. 1 Rue Battani, Agdal, Rabat, Morocco, for the provision of aircraft maintenance and related technical services (hereinafter referred to as the “Service”).
Any deviation from the terms and conditions stated below shall only be valid if confirmed in writing by AOM Maintenance.
This Contract shall only become binding once the client has accepted AOM Maintenance’s proposal in writing.
The receipt of the client’s written acceptance does not constitute final confirmation of the Service by AOM Maintenance and remains subject to the availability of the required maintenance personnel, facilities, tools, equipment, spare parts, technical documentation, aircraft access, and all necessary operational, regulatory, and governmental approvals.
AOM Maintenance shall not be held responsible for delays or inability to perform the Service resulting from circumstances beyond its reasonable control, including but not limited to the unavailability of spare parts, third-party services, regulatory approvals, aircraft access restrictions, or operational constraints.
In such cases, AOM Maintenance reserves the right to invoice the client for costs and expenses already incurred.
The proposal covers the maintenance services specifically described in the quotation, including the scope of work, labor, and standard equipment or tooling where applicable.
Any service, material, spare part, repair, inspection, test, certification, or additional work not expressly included in the proposal shall be considered outside the agreed scope and may be invoiced separately.
Additional costs, including but not limited to spare parts, consumables, specialized tooling, subcontracted services, external inspections, laboratory testing, aircraft positioning, travel and accommodation of maintenance personnel, airport charges, customs duties, storage fees, additional man-hours, and work performed outside normal operating hours, shall be invoiced separately.
Where applicable, such additional costs may be subject to an additional 7% management fee.
The client is responsible for providing AOM Maintenance, before the commencement of the Service, with all information and documentation necessary to perform the work, including but not limited to:
Aircraft technical and registration information;
Aircraft maintenance records and technical logbooks;
Applicable maintenance history;
Manufacturer’s maintenance documentation, where applicable;
Airworthiness and regulatory documents;
Details of the requested maintenance work;
Access to the aircraft and relevant technical areas;
Any other information reasonably required by AOM Maintenance.
AOM Maintenance reserves the right to postpone, suspend, or refuse the Service if the required information, documentation, aircraft access, or approvals are not provided or if the work cannot be performed in compliance with applicable regulations and safety requirements.
AOM Maintenance shall not be held responsible for delays or additional costs resulting from incomplete, inaccurate, or late information or documentation provided by the client.
During the inspection, maintenance, or repair process, AOM Maintenance may identify additional defects, discrepancies, damage, wear, or maintenance requirements that were not apparent or included in the original scope of work.
Any additional work required shall be communicated to the client and, where applicable, shall be subject to the client’s written approval before execution.
Additional work, parts, materials, labor, inspections, and associated services shall be invoiced separately.
Where immediate action is required for safety or regulatory reasons, AOM Maintenance reserves the right to take the necessary measures and subsequently inform the client of the work performed and related costs.
In case of delays or additional costs caused by the client, aircraft operator, owner, or any third party acting on behalf of the client, AOM Maintenance reserves the right to invoice the related costs.
This includes, but is not limited to, delays in providing access to the aircraft, missing documentation, late approvals, aircraft unavailability, delayed decision-making, or failure to provide required parts or equipment.
AOM Maintenance shall perform the agreed Services in accordance with the applicable maintenance procedures, technical documentation, safety requirements, and regulations applicable to the Service being performed.
The client shall ensure that the aircraft is made available in a suitable condition and that all information provided to AOM Maintenance is accurate and complete.
Where a specific regulatory approval, inspection, certification, or authorization is required, the completion of the Service may remain subject to the availability and approval of the relevant competent authority or authorized organization.
The client shall ensure that AOM Maintenance personnel have timely and safe access to the aircraft, maintenance areas, technical records, and equipment necessary to perform the agreed Service.
Any additional ground support, parking, hangarage, aircraft positioning, towing, or airport services not expressly included in the proposal may be charged separately.
Unless expressly stated otherwise in the proposal, spare parts, components, consumables, materials, and specialized equipment are not included in the quoted Service price.
The sourcing and availability of spare parts may affect the estimated completion time.
Any applicable shipping, customs, handling, storage, or other associated costs shall be invoiced separately.
Unless otherwise agreed in writing, the total Service cost must be paid to AOM Maintenance in accordance with the payment terms specified in the proposal and, where applicable, before commencement of the Service.
AOM Maintenance shall not be held responsible for delays resulting from late payment or failure to comply with the agreed payment schedule.
AOM Maintenance reserves the right to suspend or postpone the Service until the outstanding amounts have been received.
Additional costs resulting from payment delays may be invoiced to the client.
For payments made by credit card, 3% of the proposed price will be charged to the client.
In case of cancellation of the requested Service by the client, the following cancellation fees shall apply:
If the Service is cancelled after activation: 25% of the proposed amount will be charged.
If the Service is cancelled less than 72 hours before the scheduled start of the Service: 50% of the proposed amount will be charged.
If the Service is cancelled less than 12 hours before the scheduled start of the Service: 100% of the proposed amount will be charged.
Any costs already incurred by AOM Maintenance, including the purchase or reservation of spare parts, subcontracted services, travel arrangements, or other third-party expenses, may also be invoiced to the client.
AOM Maintenance reserves the right to suspend, postpone, or cancel the Service in case of circumstances beyond its reasonable control, including but not limited to adverse weather conditions, safety concerns, technical limitations, unavailability of required parts or equipment, regulatory restrictions, airport restrictions, industrial or operational disruptions, or other unforeseen circumstances.
In such cases, AOM Maintenance shall inform the client as soon as reasonably possible.
The Service shall be considered completed when the agreed scope of work has been performed and the applicable maintenance documentation has been completed or made available, subject to any required inspection, approval, certification, or release to service.
Any additional work requested after completion of the original scope shall constitute a new or additional Service and may be subject to a separate quotation.
Unless otherwise agreed in writing, this proposal is valid for 7 days from the date of issue.
Prices and service availability may be subject to change after the validity period.
